Dear Amanda
I have previously verbally agreed to sell Prior’s of West Lynn one acre of our West Lynn site subject to their gaining planning permission to build a new shop and facilities on this one acre. I am pleased to say that they have now achieved planning permission but will not necessarily proceed if construction costs are too high. I originally agreed a figure of 200k, this may be subject to Vat and I would have to check this with my accountant. Obviously I do not wish to incur legal and surveyors fees until Prior’s confirm they intend to proceed.
They require a document in writing committing both parties, would you therefore suggest the following route:
- I prepare a Heads of Terms for you to check following which they and I sign to commit us both to the deal on which there should be a time limit.
- Following the signing of the document would you suggest both parties arrange for their surveyor/architect to meet on site to mark out, agree and measure the exact area. At this stage I start incurring costs, I believe if Prior’s then decide not to proceed they should be prepared to meet our reasonable costs expended on the matter.
I would welcome your thoughts on the above.
